1. Eligibility: The Stranglehold True to John Woo Contest (the "Contest") is open only to legal residents of the forty-eight (48) contiguous United States and the District of Columbia who are at least eighteen (18) years old at the time of entry and have video production, editing and uploading capabilities as of April 1, 2007. John Woo and employees of MySpace, Inc., Midway Home Entertainment, Inc., ePrize, LLC and any of their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. The Contest is subject to all applicable federal, state, and local laws and regulations. Void in Alaska, Hawaii and where prohibited by law.
2. Sponsor: MySpace, Inc., 407 N. Maple Drive, Beverly Hills, CA 90210. Administrator: ePrize, LLC, One ePrize Drive, Pleasant Ridge, MI 48069.
3. Agreement to Official Rules: By participating in the Contest, entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and/or Administrator, which are final and binding in all matters related to the Contest. Whether an entrant receives a prize is contingent upon fulfilling all requirements set forth herein.
4. Timing: The Contest begins on April 30, 2007 at 12:00 a.m. Eastern Time ("ET") and ends on July 30, 2007 at 11:59 p.m. ET (the "Contest Period"). The Contest Period consists of four (4) phases as set forth in the chart below.

Sponsor's computer is the official time-keeping device for the Contest.
5. How to Enter: During the Submission Phase, visit http://www.myspace.com and follow the links and instructions to login and/or create a MySpace account. Creating a MySpace account is free. After creating and/or logging into your MySpace account, visit the MySpace Stranglehold profile (the "Profile") at http://www.myspace.com/strangleholdgame and follow the links and instructions to upload and submit an original video clip (the "Video"), created by you and inspired by John Woo. Upload your Video to the Profile and follow the links and instructions to complete and submit the registration. By submitting your Video and completing and submitting the registration, you agree that your Video conforms to the Video Guidelines and Content Restrictions as defined below (collectively, the "Guidelines and Restrictions") and that Sponsor, in its sole discretion, may remove your Video if it believes, in its sole discretion, that your Video fails to conform to these Guidelines and Restrictions in any way, in which case your Video shall be disqualified from the Contest.

For all Videos: Failure of any Video to comply with the above Guidelines and Restrictions, as determined by Sponsor and/or Administrator in their sole discretion, may result in disqualification. All Videos will become the exclusive property of Sponsor, and none will be acknowledged or returned. Sponsor shall have the right to edit, adapt and publish any or all of the Videos, and may use them in any media without attribution or compensation to the entrant, his/her successors or assigns, or any other entity. ENTERING A VIDEO IN THIS CONTEST CONSTITUTES YOUR IRRECOVACBLE ASSIGNMENT, CONVEYANCE AND TRANFERENCE TO SPONSOR ANY AND ALL RIGHT, TITLE AND INTEREST IN THE VIDEO INCLUDING, WITHOUT LIMITATION, ALL COPYRIGHTS. Sponsor is not responsible for lost, late, incomplete, invalid, un-intelligible or misdirected Videos, which are void and will be disqualified. Sponsor, in its sole discretion, may feature any Video submitted in this Contest at any time during, or after, the Contest Period on http://www.MySpace.com, any related websites, in any promotional materials, whether related or un-related to the Contest, and at any other location, whether physical or online, that Sponsor, in its sole discretion, deems appropriate and necessary for the operation and promotion of this Contest. Limit: One (1) entry per person during the Submission Phase.
6. Winner Determination: Prize winners will be determined according to the process set forth below:
Preliminary Judging Phase: During the Preliminary Judging Phase, qualified judges (the "Judges"), whose decisions as to the administration of this Contest and the selection of semi-finalists are final and binding in all matters, will select from all Videos submitted during the Submission Phase ten (10) semi-finalists (the "Semi-Finalists"). The Judges will make this decision based upon the following criteria: 40% quality, 40% homage to John Woo and 20% creativity (the "Judging Criteria"). In the event of tie between two (2) or more Videos, the Video the Judges determine to be the most creative will be the applicable Semi-Finalist.
John Woo Award Judging Phase: During the John Woo Award Judging Phase, John Woo, whose decisions as to the selection of the John Woo Award winner is final and binding in all matters related to this Contest, will select from the Semi-Finalists the John Woo Award winner. John Woo will make this selection based upon an application of the Judging Criteria. In the event of tie between two (2) or more Semi-Finalists for the John Woo Award, the Video John Woo determines to be the most creative will be the John Woo Award winner. If John Woo is unable for any reason, Sponsor will substitute John Woo with another judge determined by Sponsor in its sole discretion.
Audience Award Voting Phase: During the Audience Award Voting Phase, the Semi-Finalists not selected as the John Woo Award winner will be posted in an online gallery for public voting at http://www.MySpace.com/strangleholdgame. MySpace members will be invited to vote for the Semi-Finalist whose Video they believe should win the Audience Award Prize.
Limit: One (1) vote per unique IP address per day. Voting is regulated by MySpace's Terms and Conditions, which are available at http://www.myspace.com/Modules/Common/Pages/TermsConditions.aspx. The one (1) Semi-Finalist whose Video receives the most votes at the end of the Audience Award Voting Phase will be the Audience Award winner. If there is a tie between two (2) or more Videos for the Audience Award, the Video that the Judges determine to be the most creative will be the Audience Award winner.
7. Winner Requirements: The potential John Woo Award winner will be notified by email or phone on or around July 3, 2007. The potential Audience Award winner will be notified by email or phone on or around August 6, 2007. The potential John Woo Award winner (parent/legal guardian if winner is a minor in his/her state of residence) will be required to sign and return to Sponsor, within three (3) days of the date notice or attempted notice is sent, an Affidavit of Eligibility, Liability & Publicity Release in order to claim the John Woo Award Prize. The potential Audience Award winner (parent/legal guardian if winner is a minor in his/her state of residence) will be required to sign and return to Sponsor, within ten (10) days of the date notice or attempted notice is sent, an Affidavit of Eligibility, Liability & Publicity Release in order to claim the Audience Award Prize. If any winner cannot be contacted, or fails to sign and return the applicable Affidavit of Eligibility, Liability & Publicity Release within the required time period noted above, that applicable potential winner forfeits the prize and he/she will be disqualified. All potential winners must continue to comply with all terms and conditions of these Official Rules; and winning is contingent upon fulfilling all requirements. Failure to comply with these requirements for any reason, return of prize notification or prize as undeliverable or disqualification of any winner for any reason will result in forfeiture of prize and an alternate winner will be selected by the Judges from the remaining eligible entries (if for John Woo Award Prize) or the person with the next highest number of votes (if for the Audience Award Prize) and the applicable prize will be awarded to that alternate winner. Only three (3) alternate winners for each prize will be selected, after which the applicable prize will remain un-awarded. Acceptance of any prize shall constitute and signify the winner's agreement and consent to Sponsor may use the winner's name, city, state, likeness, Video, photos and/or prize information in connection with the Contest worldwide, including the Internet, without limitation and without further payment or consideration, except where prohibited by law. Non-travel prizes will be fulfilled eight (8) to ten (10) weeks after all winners have been confirmed.
8. Prizes: ONE (1) JOHN WOO AWARD PRIZE: A trip for two (2) to Chicago, IL; $25,000; a debut of winner's Video during the Spike TV Asian Action Film Marathon in August 2007; an Amp'd phone; a six (6) month service package to Amp'd mobile; a framed Hard Boiled poster signed by John Woo; and a copy of the Stranglehold video game for a platform of winner's choice. Trip package includes roundtrip coach-class airfare for two (2) from a major airport near winner's home (determined by Sponsor in its sole discretion) to Chicago, IL; three (3) days and two (2) nights accommodations at a hotel of Sponsor's choice (single room, double occupancy); a trip to Midway Chicago Studios; and a Spike TV interview. Winner must commence travel on July 14, 2007 and must conclude travel on July 17, 2007, or the John Woo Award Prize is forfeited in its entirety and no substitution will be made except as provided herein at Sponsor's sole discretion. Trip subject to availability and blackout dates. Travel must be roundtrip. Sponsor will determine airline and flight itinerary in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel and accommodations are subject to availability; and dates of travel are subject to change. Travel is subject to the terms and conditions set forth in this Contest and those set forth by the Sponsor's airline carrier of choice as detailed in the passenger ticket contract. All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, ground transportation, meals, incidentals, passenger tariffs or duties, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of winner. Unless child of winner, travel companion must be eighteen (18) years of age or older as of the date of departure and must travel on same itinerary and at the same time as the winner. Travel companion must execute liability/publicity releases prior to issuance of travel documents. If in the judgment of Sponsor air travel is not required due to winner's proximity to prize location, ground transportation will be substituted for roundtrip air travel at Sponsors' sole discretion. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Sponsor is not responsible if the Spike TV interview and/or debut of winner's Video during the Spike TV Asian Action Film Marathon is delayed, postponed or cancelled for any reason, in which event that portion of prize is forfeited in its entirety and no substitution will be provided except as in Sponsor's sole discretion. Sponsor and Spike TV share the absolute right to use, or refrain from using, the Spike TV interview in any media, without limitation and without further payment or consideration, worldwide and in perpetuity, except where prohibited by law. Approximate Retail Value ("ARV"): $29,695.
ONE (1) AUDIENCE AWARD PRIZE: $1000; an Amp'd phone; a six (6) month service package to Amp'd mobile; and a copy of the Stranglehold video game for a platform of winner's choice; and a framed Hard Boiled poster signed by John Woo. ARV: $1925.
For Amp'd mobile phone and six (6) month service package to Amp'd mobile: Sponsor, in its sole discretion, will determine model of phone. The ARV of electronic items are subject to fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the item is redeemed. Terms and conditions of six (6) month service package agreement apply. For Stranglehold Video Game: The ARV of video games and consumer software are subject to fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the item is redeemed.
For All Prizes: Limit: One (1) prize per person. All prizes are non-transferable and no substitution will be made unless Sponsor, in its sole discretion, determines otherwise. Sponsor reserves the right to substitute a listed prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winner is responsible for all taxes and fees associated with prize receipt and/or use. Total ARV of all Contest prizes: $31,620.
9. Release: By receipt of any prize, the applicable winner agrees to release and hold harmless Sponsor, Midway Home Entertainment, Inc., John Woo, Administrator, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company's officers, directors, employees and agents (collectively, the "Released Parties") from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any prize.
10. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or those of any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
11. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical or human error which may occur in the administration of the Contest or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Contest or receipt or use or misuse of any prize. Sponsor is not responsible for misdirected or undeliverable entries or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Sponsor and Administrator not responsible for any typographical/other error in entries, selection announcement or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with this promotion.
12. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Michigan without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.
