God of War II Contest Official Contest Rules 1. DESCRIPTION: NO PURCHASE NECESSARY TO ENTER OR WIN. The “God of War II Contest” ("Contest") begins at 12:01 PM [PT] on Wednesday, October 11, 2006 and ends at 11:59 AM [PT] on Wednesday, November 8, 2006 ("Contest Period"). The Sponsors of this Contest are MySpace, Inc. (“MySpace”) and Sony Computer Entertainment America Inc. ("Sponsors"). The administrator of this Contest is Visionworks Promotion, Event & Creative Development Company ("Contest Administrator"). 2. ELIGIBILITY: Contest is open to legal residents of the 50 United States who are at least 18 years of age at time of entry. All entrants must be registered members of the www.myspace.com website in compliance with MySpace’s Terms & Conditions policy located at http://collect.myspace.com/misc/terms.html?z=1 for valid entry. Any individuals (including but not limited to employees, consultants, independent contractors and interns) who have, within the past six months, held employment with or performed services for Sponsors, or any organizations affiliated with the sponsorship, fulfillment, administration, prize support, advertisement or promotion of the Contest are not eligible to enter or win. Immediate family and household members of such individuals are not eligible to enter or win. "Immediate Family Members" shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses. "Household Members" shall mean those people who share the same residence at least three months a year. Void where prohibited. 3. HOW TO ENTER: To enter, entrants must log in to their MySpace account and visit the Contest web site during the Contest Period by logging on to the God of War II MySpace profile page at http://www.myspace.com/godofwar and following the prompts to access the Contest site. Follow the on-screen instructions and complete the entry form (“Entry”) by providing all of the information and/or required materials for entry into the Contest. Entry is not complete until entrant has followed the prompts to upload and attach an audio file containing an original song for Contest Submission (the original sound recording and underlying musical composition, collectively, “Song”). When the form is complete, click the "Submit" button to receive one (1) entry into the Contest. All entries must be received by 11:59 AM [PT] on October 30, 2006. Limited to one entry per person for the duration of the Contest Period. Entries generated by a script, macro or other automated means will be disqualified. Each entrant must be the rightful owner (or have authorized use) of the MySpace account identified in the entrant's entry as of September 18, 2006. In the event of a dispute as to the identity of a winner, the winner will be deemed to be the person in whose name the MySpace account was opened. Entrants must provide all information requested to be eligible to win. Incomplete, unreadable, or unintelligible entries will be disqualified. All Entry information provided by entrants becomes the property of MySpace. All submitted material (“Material”) and the Song become the sole property of Sony Computer Entertainment America Inc. “Material” includes to the extent applicable all photographs, writings, statements, and quotations of or by you (or your group) and furnished to Sponsors by you (or your group) and any other information and non-Song materials submitted by you (or group) in connection with the Contest. All tangible Material submitted shall become the property of Sony Computer Entertainment America Inc. and will not be returned. Do not submit Materials or Songs (including “samples”) that are owned by anyone other than yourself or your group. The Material and the Song must not contain offensive or lewd content. You understand that submitted Material, the Song and your (or your group’s) name, likeness and image (individually and collectively, “Likeness”) may be posted on the MySpace website in connection with the Contest. By entering the Contest, you expressly grant to Sponsors a perpetual, fully-paid, irrevocable, non-exclusive license to reproduce, prepare derivative works of, distribute, display, exhibit, transmit, broadcast, televise, digitize, otherwise use, and permit others to use and perform throughout the world your (or your group’s) Likeness in any manner, form, or format now or hereinafter created, including on the internet, and for any purpose, including, but not limited to, advertising or promotion of Sponsors and their respective services, all without further consent from or payment to you (or your group). By submitting Materials, a Song or you (or your group’s) Likeness, you represent and warrant to Sponsors that (i) the Material, Song and Likeness are wholly original and do not infringe or otherwise violate any right of any third party, (ii) you have all rights necessary to submit the Material, Song or Likeness in the Contest in accordance with these Official Rules, and (iii) no party other than you (or your group) has any right, title or interest in and to the Material, Song or Likeness or any part thereof. If you are submitting Material, a Song or Likeness on behalf of a group, you represent and warrant to Sponsors that you have the authority to act on behalf of the group. By entering the Contest, entrant expressly acknowledges that the winner of the Contest must assign all rights, title and interest in the Song submission to Sony Computer Entertainment America Inc. and must sign all documents necessary to transfer copyright of the Song to Sony Computer Entertainment America Inc. In the event an assignment cannot be fully effectuated, you hereby grant Sony Computer Entertainment America Inc. a perpetual, fully-paid, irrevocable, exclusive license to reproduce, prepare derivative works of, distribute, display, exhibit, transmit, broadcast, televise, digitize, otherwise use, and permit others to use and perform throughout the world the Song in any manner, form, or format now or hereinafter created, including on the internet, and for any purpose, including, but not limited to, advertising or promotion of Sponsors and their respective services, all without further consent from or payment to you (or your group). You agree that Sponsors have no obligation to post your Material, the Song or Likeness on the MySpace website or include the Song in the God of War II soundtrack album. Sponsors reserve the right to limit the number of entrants whose Material or Song is posted on the MySpace website and to remove entrants whose entries have already been posted in the event of an error or determination that the entrant is ineligible to participate in the Contest. 4. JUDGING CRITERIA: All Song submissions will be judged on the following criteria: originality 40%; musical compatibility with the feel/tone of the game 30%; creative use of game score samples 30%. Songs must not exceed five (5) minutes in play length. Songs must incorporate samples from the original score of the game “God of War II.” Entrants can obtain a copy of the fully mixed orchestral score and/or samples of instrumental pieces of the score by following the prompts to download them from the Contest website. Use of the score is subject to the terms of the license agreement that must be agreed to before downloading the score. Contest is open to all genres of music; entrants are not required to duplicate the provided samples, and are encouraged to reinterpret them so long as they adhere to the requirements set forth in these Official Rules. Songs should reflect one or more of the following six (6) themes: Rage, Fate, Loss, Anger, Confusion and Revenge. Due to the context of the game, Song lyrics containing violence and/or strong language will be valid for Entry, however winning entrants must also provide a “clean” version of the Song in order to be eligible to accept the Grand Prize. Songs containing lyrical content which refers to contemporary issues or Pop Culture will be disqualified. All Song submissions will be judged by a panel of judges selected by the Sponsors. All decisions of the judging panel are final on all aspects of the Contest. 5. PRIZES: Grand Prize: One (1) grand prize winner will be selected to have his or her Song included on the official God of War II soundtrack album. Grand Prize has no retail value. Any promotional agreement or contract entered into between the record label producing the soundtrack album and the Contest winner are independent of this Contest, and Sponsors and Contest Administrator bear no responsibility for the terms of said agreement. At Sponsor’s sole discretion, if the quality of the submissions do not meet the Judges standards for inclusion in the God of War II soundtrack album, an alternate prize of $5,000.00 (U.S.) may be awarded in lieu of inclusion in the soundtrack album. Winner will be responsible for any and all federal, state and/or local taxes resulting from acceptance of the prize. Grand prize winner cannot assign or transfer the prize to another person. No substitution is allowed except at the discretion of Sponsors. If the grand prize cannot be awarded due to circumstances beyond the control of Sponsors, a substitute prize may be awarded, at Sponsors’ discretion. However, if prizes are awarded but unclaimed/forfeited by recipient, prize may not be re-awarded, in Sponsors’ sole discretion. Other restrictions may apply. 6. WINNER SELECTION AND NOTIFICATION: Following the end of the Contest Period, the top ten (10) Songs which most accurately reflect the aforementioned Judging Criteria (“Top Ten”) will be selected solely based on the opinions of the Judging Panel. The Top Ten will be posted on the Contest Profile from October 11, 2006 [update] through October 16, 2006 [update](“First Round Voting Period”), and during this time MySpace members will be eligible to vote for their favorite Song by logging on to the Contest Profile and following the onscreen prompts to register their vote. Only one vote per person per day will be permitted. Following the close of the First Round Voting Period, the three (3) Songs with the most votes will move to the Final Round (“Finalists”). In the event that more than one submission with top three (3) ranking receives the same number of MySpace user votes, each tying entry will progress to the Final Round. Finalists will be posted on the Contest website from October 16, 2006 [global change – fix dates] to October 20, 2006 (“Final Voting Period”), and during this time MySpace members will be eligible to vote for their favorite Song by logging on to the Contest Profile and following the onscreen prompts to register their vote. Only one vote per person per day will be permitted. Following the close of the Final Voting Period, the Song with the most votes will be named the winner. In the event that more than one entry receives the same number of votes, a winner will be selected from the tying entries by the Judging Panel following the guidelines of the Judging Criteria. Winner will be notified by telephone, email and/or overnight mail on or about October 23, 2006. Selected winner will be required to respond (as directed) to the notification within 72 hours of attempted notification. The failure to respond timely to the notification may result in forfeiture of the prize and, in such case, Sponsors will select an alternate winner based on the stated Judging Criteria. Grand prize winner will be required to verify address and to execute before a notary public and return within seven (7) days an affidavit of eligibility and liability/publicity release covering eligibility, liability, advertising, publicity and media appearance issues and a document assigning the rights to the winning Song’s musical composition and sound recording to Sony Computer Entertainment America Inc., unless prohibited by law. The grand prize will not be awarded until all such properly executed and notarized documents are returned. 7. CONDITIONS OF PARTICIPATION/RELEASES: Contest is void where prohibited or restricted by law. All federal, state and local laws and regulations apply. By participating, entrants agree to be bound by these Official Rules and the decisions of the Sponsors and the Contest Administrator, which shall be final in all respects. By participating in this Contest and/or by accepting any prize that they may win, entrants agree to release the Sponsors and Contest Administrator; their parent, subsidiary and affiliated companies, units and divisions and advertising and promotional agencies and prize suppliers; each of their respective officers, directors, agents, representatives and employees; and each of these companies and individuals' respective successors, representatives and assigns (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Contest and/or acceptance or use of the prize. The Released Parties shall not be liable for: (i) late, lost, delayed, stolen, misdirected, postage-due, incomplete unreadable, inaccurate, garbled or unintelligible entries, communications or affidavits, regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses or damages of any kind caused by the prize or resulting from acceptance, possession or use of a prize, or from participation in the Contest; or (v) any printing, typographical, administrative or technological errors in any materials associated with the Contest. Sponsors disclaim any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Contest, and reserve the right, in their sole discretion, to cancel, modify or suspend the Contest should a virus, bug, computer problem, unauthorized intervention or other causes beyond Sponsors’ control, corrupt the administration, security or proper play of the Contest. Sponsors may prohibit you from participating in the Contest or winning a prize if, in their sole discretion, they determine you are attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, or any other unfair playing practices of intending to annoy, abuse, threaten or harass any other players or Sponsor representatives. This Contest will be governed by the internal laws of the State of California. Any and all legal actions or claims arising in connection with this Contest must be brought in a court of competent jurisdiction within the United States. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE CONTEST. SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. 8. PRIVACY POLICY: Any personal information supplied by you to MySpace will be subject to MySpace’s privacy policy posted at http://collect.myspace.com/misc/privacy.html?z=1. MySpace will not sell, rent, transfer or otherwise disclose your personal data to any third party. 9.
